source protocol, for example via a lightweight client. By logging into the 8PAY network, you can choose to send and
receive cryptocurrencies and other 8PAY assets, create transactions, issue and exchange tokens, create smart
contracts, and otherwise transact through the 8PAY network. Please note that we do not control the 8PAY network and
cannot control the activity and data on the network, nor can we control the activities of the user or third parties
that may develop on the network, validate transactions on the network or use the network. All activities and data on
the 8PAY Network are permanent and public.
The 8PAY Network is not part of the Services defined here. Activities on the 8PAY Network are powered by a network
of independent servers and are not controlled by us. We do not and cannot guarantee the proper functioning, uptime,
security or operation of the 8PAY network.
You agree and acknowledge that any access or use by you of the 8PAY Network is done solely at your own risk and that
we assume no liability for your use of the 8PAY Network, including, without limitation, for any damage, loss or
damage arising from transactions sent to incorrect 8PAY addresses, incorrectly constructed transactions, software
and network problems, technical failures, unauthorized access to any user wallets, legal and regulatory issues and
consequences, or fraud conducted by third parties. Further, you agree and acknowledge that, in connection with our
Services, you will not use the 8PAY (i) Network in a manner that violates any applicable federal, state, local or
international law or regulation; (ii) to finance terrorism or other criminal activities; (iii) circumvent any export
restrictions or economic sanctions; or (iv) engage in illegal money transmission, currency exchange or money
laundering.
Cryptocurrencies are the native resource of the 8PAY network and are used to send trades, create accounts and as a
bridging currency. Cryptocurrencies are not legal tender, are not backed by any government, and are not subject to
any protections or insurance provided by the Federal Deposit Insurance Corporation or the Securities Investor
Protection Corporation.
The fiat value of cryptocurrencies is highly volatile and cryptocurrencies could lose all value. 8PAY does not
control and is not responsible for the value of cryptocurrencies and makes no warranties, express or implied, of its
value. You agree and acknowledge that any purchase of cryptocurrencies by you or on your behalf is made voluntarily,
knowingly, and solely at your own risk.
We do not hold, store or take custody of any user's cryptocurrencies, 8PAY tokens or related private keys. You agree
and acknowledge that you are solely responsible for the secure storage of any cryptography, 8PAY tokens and related
private keys in your possession. You agree that under no circumstances will 8PAY be responsible for the security or
control of any user's cryptocurrencies or their private keys.

SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
8PAY MAKES NO REPRESENTATIONS OR WARRANTIES THAT (A) ACCESS TO THE SERVICES OR ANY PORTION OF THEM WILL BE
CONTINUOUS, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THAT THE SERVICES OR ANY MATERIALS CONTAINED THEREIN
ARE ACCURATE, COMPLETE, RELIABLE OR UP-TO-DATE; (C) THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL
COMPONENTS; (D) OR THAT THE SERVICES OR ANY OF THE MATERIALS CONTAINED THEREIN MEET YOUR REQUIREMENTS, NEEDS OR
EXPECTATIONS.
FURTHERMORE, 8PAY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE LEGALITY OF THE SERVICES FOR ANY CASE OF USE,
OR THAT THE SERVICES MAY MEET ANY REGULATORY AND COMPLIANCE NEEDS. THE USER IS SOLELY RESPONSIBLE FOR DETERMINING
AND COMPLYING WITH ALL LEGAL AND REGULATORY RESTRICTIONS AND REQUIREMENTS THAT MAY GOVERN THE USE OF THE SERVICES.
EXCEPT FOR THE EXPRESS REPRESENTATIONS SET FORTH IN THESE TERMS OF SERVICE, YOU HEREBY ACKNOWLEDGE AND AGREE THAT

8PAY DOES NOT ACT AND MAY NOT ACT AS YOUR ADVISOR IN CONNECTION WITH ANY FINANCIAL, LEGAL, INVESTMENT OR TAX
MATTERS. ANY INFORMATION PROVIDED BY THE COMPANY IS GENERAL INFORMATION ONLY AND YOU ARE SOLELY RESPONSIBLE FOR
DETERMINING WHETHER TO USE OR NOT TO USE THE SERVICES. YOU ACKNOWLEDGE THAT THE SERVICE MAY BE SUBJECT TO EXPORT
RESTRICTIONS AND ECONOMIC SANCTIONS IMPOSED BY LAW.

INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS
OF SERVICE, THE 8PAY NET SERVICES, OR CRYPTO, INCLUDING, BUT NOT LIMITED TO, THE USE OR INABILITY TO USE THE
SERVICES; SECURE STORAGE OF YOUR PRIVATE CRYPTO OR OTHER CRYPTOCURRENCY KEYS; ANY CHANGES OR INACCESSIBILITY OR
TERMINATION OF THE SERVICES; ANY DELAY, FAILURE, UNAUTHORIZED ACCESS OR ALTERATION OF ANY TRANSMISSION OR DATA; ANY
TRANSACTIONS OR AGREEMENTS CONCLUDED THROUGH THE SERVICES; ANY THIRD PARTY ACTIVITY OR COMMUNICATION; ANY LOSS OF
CRYPTO VALUE; OR ANY THIRD PERSON DATA OR MATERIALS ACCESSIBLE TO OR THROUGH THE SERVICES, IF SUCH LIABILITY IS
ASSUMED ON THE BASIS OF TORT OR OTHERWISE, AND IF 8PAY HAS BEEN NOTIFIED OR NOT OF THE POSSIBILITY OF SUCH DAMAGES.
THIS LIMITATION OF LIABILITY APPLIES IF DAMAGES ARIS FROM IMPROPER USE OR USE AND RELIANCE ON 8PAY OR THE SERVICES,
DESPITE THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
IF YOU ARE NOT SATISFIED WITH THE SERVICES, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY WILL BE FOR YOU TO
DISCONTINUE USING THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
In the event of disputes arising from economic losses resulting from the use of the 8PAY platform, the user must, before any legal action, initiate a conciliation procedure with the 8PAY legal department. Only after the negative outcome of this conciliatory procedure, for a justified reason, can the user contact the judicial authority.
You agree to defend, indemnify and hold harmless 8PAY, its independent contractors, service providers, consultant, and their respective directors, employees and agents (collectively, the "Indemnified"), from and against any and all claims, damages, costs, liabilities and expenses (including, without limitation, reasonable attorney's fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms of Service; (c) your violation of any rights of another; (d) your conduct in relation to the Services; or (e) your use of cryptocurrencies or the 8PAY network. Some jurisdictions limit consumer benefits, so some or all of the above indemnity provisions may not apply to you. If you are required to indemnify any of the Indemnified, we reserve the right, in our sole discretion, to review any action or proceeding and to determine whether to terminate and on what terms.
These Terms of Service are governed by and construed in accordance with the laws of the British Virgin Islands (BVI) without resorting to any conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms of Service is subject to international arbitration. You also irrevocably and unconditionally consent to and submit to the exclusive jurisdiction of such courts for any cause, action or proceeding arising out of these Terms of Service.
Nothing in these Terms of Service is intended, nor will be construed, to provide or create any third party beneficiary rights or any other right of any kind in any user, customer, affiliate or any part of this document or any other person unless that otherwise specified in this document, and except as otherwise provided, all the provisions of this document will be exclusively personal between the user and 8PAY. 8PAY may assign its rights and obligations under these Terms of Service to any party at any time without notice.
No waiver by 8PAY, whether by conduct or otherwise, of any term, provision or condition set forth in these Terms of Service will be deemed a further or continuing waiver of such term, provision or condition or a waiver of any other term, provision or condition. Any failure or delay by 8PAY in affirming a right or provision under these Terms of Service does not constitute a waiver of such right or provision.
If any provision of these Terms of Service is found to be unlawful, invalid or otherwise unenforceable, such provision, to the minimum extent necessary, will be deleted and deemed severable from these Terms of Service and will not affect the validity and enforceability of any remaining provisions.
These Terms of Service, including the Privacy Policy, constitute the complete and exclusive statement of the agreement between you and 8PAY in relation to the Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, relating to the Services.
